A confirmation statement is a document that all limited companies, LLPs and CICs must file with Companies House at least once every 12 months to confirm that all the company details are up to date. The purpose of this is to ensure that Companies House maintain an up-to-date register.

When do I need to file a confirmation statement?
You need to file a confirmation statement with Companies House at least once a year. This is a statutory requirement and should be filed even if nothing has changed or if your company is dormant.

What happens if you file your confirmation statement late?

There is no penalty if you are late filing the confirmation statement, however failure to submit a confirmation statement is a criminal offence. In this case, Companies House may start legal proceedings against you which can result in your company being struck off the register, and fines of up to £5000 per director.

When is a confirmation statement due?

Your confirmation statement date is up to 12 months after incorporation and must be filed within 14 days of this date. For example, if you formed your company on January 1st 2023, your confirmation statement date would be December 31st 2023, and the confirmation statement would need to be filed no later than 14th January 2024. If you have filed more than one confirmation statement in a year, you statement date will change to the anniversary of when the last filing was made. How long does filing a confirmation statement take?

Once you purchase our service, your confirmation statement will be reviewed and submitted the same day (if purchased during working hours). Any purchased outside of office hours will be submitted on the nearest working day.

What can be updated in a confirmation statement?

When filing a confirmation statement, companies can report changes and confirm the following details:

Updating details not included in a confirmation statement will need to be updated separately before filing your confirmation statement.
