Can my registered office be outside of the UK?

No, it is a legal requirement to have a registered office in the same UK jurisdiction that the company was registered in.

Can I use a PO box?

No, the registered office must be a physical address not a PO box.

Why do companies need a registered office?

Under s.86 of the Companies Act 2006 ‘a company must at all times have a registered office to which all communications and notices may be addressed’.

Is using your home address as your registered office accepted?

Yes, you can use your residential address providing you are comfortable with it being public on the Companies House register. If you would prefer to maintain your privacy, you can opt to use a 1st Choice Incorporations registered office address. If you are renting your property, you may need to check with your landlord before using the address as a registered address for your business.

What if I want to change registered office?

Changing a company’s registered office can be done at any time. Companies House must be informed of any changes within 14 days of this taking place. The new address must follow the same rules regarding location within the UK. If you would like to change a registered office address, 1st Choice Incorporations can manage the update for £30 + VAT. If you opt to use one of our addresses, we will update the company records free of charge.

What mail can I receive?

You can receive all statutory mail – this includes mail from Companies House, HMRC, any other government agencies and legal documents. Such correspondence will be scanned and emailed to you on the same day that it is received. Depending on your instructions, your mail will be maintained at our offices, forwarded to you, or securely destroyed.

Registered office vs service address

The registered office is the company’s address where its mail can be received, whereas a service address is where the company’s officers receive personal statutory mail. If you wish to maintain your privacy, both services (registered office and director service address) are required.
